Professional Corporations Registration

A lawyer(s) may apply to the Law Society of Alberta to obtain a permit to practise law as a Professional Corporation. Complete information can be found by downloading Procedure for Incorporation of a Professional Corporation.

The procedure for the incorporation of a Professional Corporation with the LSA is a three step process:

Approval of the proposed articles of incorporation
Complete and return two copies of:
Approval of Articles of Incorporation Form PDF - 12k
Proposed Articles of Incorporation (form obtained through Corporate Registry Services of Alberta)

All forms are to be provided by fax or mail to LSA Membership Services, or email the Membership Department.

Register the Professional Corporation with Corporate Registry Services of Alberta
Go to www3.gov.ab.ca/gs/services/cpnc/index.cfm for more information.

Application for a permit to practise as a corporation
Once articles have been approved by the LSA and the corporation has been successfully registered with the Corporate Registry Services office, you may apply for a permit to practise as a professional corporation. You may not provide legal services through a professional corporation until the LSA has issued you a permit.

Complete and submit the following documents and fees:

  • Application for a Permit (Form 8-1)
  • Copy of Articles of Incorporation filed with Corporate Registry Services of Alberta
  • Copy of corporation’s Certificate of Incorporation
  • Copy of Proof of Filing (obtained from Corporate Registry Services of Alberta)
  • Application fee. See Fee Schedule for current fee information. This is payable by internet or telephone banking or by cheque to the Law Society of Alberta.

All forms are to be provided by fax or mail to LSA Membership Services, or email the Membership Department.

Once the required documents are provided, a permit will be issued and sent to you.

Professional Corporations Renewal

A Professional Corporation must be renewed each year by December 31.  The LSA will provide each active professional corporation with a renewal package, which includes the Statement of Particulars and an invoice for the renewal fee (Form 8-4).

Once your renewal documents have been processed, the LSA will issue an Annual Renewal Certificate (Form 8-5).

In failure to renew a professional corporation, the LSA will notify the professional corporation and Corporate Registry Services that the permit has expired. For more information contact Membership Services.

Limited Liability Partnership Registration (LLP)

A limited liability partnership structure protects the individuals in a partnership from personal liability for the debts of the partnership, negligence and wrongdoing of other partners. Complete information can be found by downloading Procedure for the Registration of a LLP or Extra-Provincial LLP.

The procedure for a law firm proposing to register as an Alberta LLP or an extra-provincial LLP is a two step process.

Limited Liability Partnership Renewal

LLPs must be renewed each year by December 31. The LSA will provide each LLP with a renewal package, which includes the Application for Renewal for LLP Registration (Form 10-3) and an invoice for the renewal fee.
